PayStubsKit retains personal data and financial documents generated or submitted by users as part of our commitment to providing a reliable and efficient service. The data is retained to comply with legal obligations, resolve disputes, and enforce our agreements.

Duration of Retention:

User Data: Personal data provided by users will be retained for as long as the user account is active or as needed to provide services to the user. Beyond this, personal data may be held for additional periods for specific legal or audit purposes before being deleted or anonymized.
Financial Documents: Documents such as pay stubs, tax forms, and invoices generated through PayStubsKit will be retained for a minimum period required by applicable law, typically at least seven years to comply with tax and accounting requirements.

Access and Deletion:
Users may request access to or deletion of their personal data or documents, subject to legal or regulatory restrictions. Requests for deletion may result in termination of the account and all associated data.

Security of Data:
Data retention is conducted in compliance with applicable laws and best practices concerning data security and privacy protection.

20. Governing Law

Applicable Law:
These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of Jurisdiction, the State of Wyoming, United States, without regard to its conflict of law provisions.

Jurisdiction:
Disputes arising from these terms will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.

Modifications to Governing Law:
Any modifications to the governing law clause will be communicated through the website and will take effect immediately upon posting.

21. International Use

Accessibility from Different Jurisdictions:
PayStubsKit is accessible to users worldwide, but it is not tailored for compliance with the laws of all countries. Users are responsible for ensuring that their use of PayStubsKit complies with all local laws and regulations.

Restrictions:
Certain services or aspects of PayStubsKit may not be appropriate or available for use in some non-U.S. jurisdictions. Any such restrictions will be communicated on the service or directly to the users.

Compliance:
Users accessing PayStubsKit from jurisdictions with laws differing from those of Wyoming are responsible for compliance with local laws wherever applicable.

Export Control:
Users must comply with all applicable export and re-export control laws, including the Export Administration Regulations maintained by the U.S. Department of Commerce, and trade and economic sanctions maintained by the Treasury Department’s Office of Foreign Assets Control.

22. Statute of Limitations

Limitation Period for Claims:
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of PayStubsKit or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred.

23. Signature

Electronic Agreement:
These Terms of Service are an electronic contract that sets out the legally binding terms of your use of PayStubsKit and the services provided by PayStubsKit. You indicate your acceptance of these Terms of Service and all of the terms and conditions contained or referenced in these Terms of Service by completing the registration process and/or using the services. This action creates an electronic signature that has the same legal force and effect as a handwritten signature.

Confirmation of Understanding:
By using any of PayStubsKit’s services, you acknowledge that you have read these Terms of Service, understand them, and agree to be bound by their terms and conditions. You further acknowledge that these Terms of Service together with the Privacy Policy represent the complete and exclusive statement of the agreement between us, superseding any proposal or prior agreement, oral or written, and any other communications between us relating to the subject matter of these Terms of Service.

24. Severability

Clause on Severability:
If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable for any reason by any court of competent jurisdiction, such provision shall be modified to reflect the parties’ intention or eliminated to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect as valid, legal, and enforceable.

Preservation of Intent:
The parties agree that the underlying intent of any clause found to be void or unenforceable will be preserved as much as legally possible. This preservation of intent applies to all aspects of these Terms, ensuring that the remaining parts remain effective and operational to the fullest extent allowable under the law.

25. Failure to Enforce

Non-Waiver of Rights:
Failure by PayStubsKit to enforce any right or provision in these Terms of Service will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. The express waiver by PayStubsKit of any provision, condition, or requirement of these Terms of Service shall not constitute a waiver of any future obligation to comply with such provision, condition, or requirement.

Equitable Remedies:
You acknowledge that, in the event of a breach of these Terms of Service by you, the damages suffered by PayStubsKit may be substantial and irreparable; therefore, PayStubsKit is entitled to seek equitable relief, including but not limited to injunctions and specific performance, in addition to all other remedies available at law or in equity.

26. Injunctive Relief

Immediate Remedial Action:
You acknowledge that any violation of this Agreement, particularly breaches involving misuse of the services or intellectual property, may cause PayStubsKit irreparable damage for which monetary damages may be insufficient. Consequently, in addition to PayStubsKit’s rights to seek other remedies available under law or in equity, PayStubsKit is entitled to seek immediate injunctive relief to prevent such breaches, without the necessity of posting a bond. This injunctive relief can be sought without prior notice to You, the Customer, or User. Additionally, PayStubsKit reserves the right to suspend or terminate your access to our services and platforms immediately, at our sole discretion, should such a breach occur.

27. Waiver of Jury Trial

Agreement to Waive Trial by Jury:
YOU AGREE TO WAIVE ANY AND ALL RIGHTS TO A TRIAL BY JURY in any legal proceeding arising from or related to this Agreement or the Services provided by PayStubsKit. This waiver applies to any action, claim, proceeding, or counterclaim involving any matters whatsoever arising out of or in any way connected with this Agreement or your use of PayStubsKit’s Services.

28. Dispute Resolution

A. Friendly Consultation and Mediation
In the event of any disputes arising from or related to this Agreement, you agree to first attempt to resolve the issue through friendly consultation. If the dispute cannot be resolved within sixty (60) days, you may then submit the unresolved issues to non-binding mediation. You are responsible for all mediation fees and costs, as well as any legal fees should you choose to have legal representation during these proceedings. If mediation does not successfully resolve the dispute, or if the mediation process is not concluded within sixty (60) days from the start of mediation, the unresolved issues will proceed to binding arbitration as described below.

B. Arbitration
All claims, disputes, or other matters in question arising out of, or related to, this Agreement or the breach thereof, except as set forth in the provisions of this Agreement relating to the obligation to arbitrate disputes, shall be finally settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall occur unless PayStubsKit, in its sole and absolute discretion, chooses or agrees otherwise.

No arbitration arising from or relating to this Agreement shall include, by consolidation, joinder, or in any other manner, any person or entity not a party to this Agreement, except by written consent containing a specific reference to this Agreement and signed by PayStubsKit and any other proposed party to the arbitration. Any agreement to arbitrate made after the commencement of this Agreement shall not involve disputes that are not subject to the arbitration clause.

C. Demand for Arbitration
If you initiate arbitration, notice must be served in accordance with the notice provisions of this Agreement and in person to the COO or CEO of PayStubsKit, as well as in writing to the American Arbitration Association within the time frame specified by this Agreement. If PayStubsKit initiates arbitration, notice will be provided to you either via the email or postal address on record with PayStubsKit.

D. Finality
The arbitration panel’s decision will be final and binding, and judgment on the award rendered by the arbitrators may be entered in any court having jurisdiction thereof.

E. Costs and Expenses
In any arbitration, dispute, claim, or matter arising under or related to this Agreement, should PayStubsKit prevail, it is entitled to recover all reasonable attorney’s fees, costs, and expenses at all stages, including appeals. Regardless of the outcome, neither you nor any other user is entitled to recover attorney’s fees, costs, or expenses related to disputes under this Agreement.

F. PayStubsKit’s Rights
Notwithstanding the above, PayStubsKit retains the right, at any time and in its sole discretion, to bypass the steps of friendly consultation and mediation and proceed directly to filing a demand for arbitration or lawsuit in court, as detailed in the above sections.

G. Exclusion of Class Actions
To the fullest extent permitted under applicable law, you and PayStubsKit agree that:

Each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
Unless both you and PayStubsKit agree otherwise, the court or arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.
Any relief awarded cannot affect other PayStubsKit users, and vice versa.

29. Indemnification & Confidentiality

Indemnification:

By PayStubsKit: PayStubsKit agrees to indemnify and hold you harmless from and against any claim rightfully brought by a third party in a court of law alleging that the Services directly infringe on such third party’s intellectual property rights, including trademarks, copyrights, patents, trade secrets, or other proprietary rights.
By You: You agree to defend, indemnify, and hold harmless PayStubsKit and its affiliates, officers, agents, employees, and partners from any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:
- Your negligence, willful misconduct, or breach of this Agreement.
- Misrepresentations made by you.
- Unauthorized access, use, or misuse of the Services.
- Breach or alleged breach of any obligations, representations, or warranties made under this Agreement.
- Your use of third-party services, data, or products accessed through PayStubsKit.
- Chargeback & NSF Expenses.
- Any other party’s access and use of the Services with your credentials.

Confidentiality:

Obligation of Confidentiality: You and PayStubsKit agree to maintain the confidentiality of each other’s non-public information (“Confidential Information”) and to use it only as necessary for performing under the Agreement.
Exclusions from Confidential Information: Confidential Information does not include information that:
- Is or becomes publicly known through no breach of this clause by the receiving party.
- Is received from a third party without breach of any obligation of confidentiality.
- Is independently developed by the receiving party without use of or reference to the disclosing party’s Confidential Information.
- Is required to be disclosed by law or by a regulatory authority, provided that the disclosing party is given reasonable advance notice of the intended disclosure.
Permitted Disclosure: You may disclose Confidential Information when legally compelled to do so, provided that you give PayStubsKit prior notice and reasonable assistance, if possible, to contest or minimize the extent of the disclosure.

Legal Compliance: You acknowledge that PayStubsKit operates under the strict guidelines of confidentiality and will adhere to all legal standards in protecting sensitive information, ensuring that all interactions comply with applicable laws and regulations.

30. Limitation of Liability

Third-Party Services and Products:
PayStubsKit is not liable for any third-party services or products, including those provided by property managers, users, or other service providers such as Stripe, Checkbook.io, Sure, Lemonade, Zapier.com, TransUnion, DropBoxSign, Zillow, Apartments.com, Rent.com, and others, even if PayStubsKit’s website or software contains links to or integrations with such entities. The inclusion of any link or integration does not imply PayStubsKit’s approval, endorsement, or recommendation of any third party. You acknowledge that you access and use such third-party links and integrations at your own risk. In the event of a dispute with any third party, you agree to release PayStubsKit from all claims, demands, and damages of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

Exclusion of Certain Damages:
In no event shall PayStubsKit, its parent organizations, affiliates, subsidiaries, licensors, or their respective officers, directors, employees, and agents (collectively “PayStubsKit Entities”) be liable for any direct, indirect, punitive, special, exemplary, incidental, or consequential damages under any theory of liability (including contract, negligence, strict liability, or other theory). This exclusion applies to, but is not limited to, damages for loss of data, revenue, profits, use, or other intangible losses, even if advised of the possibility of such damages. Furthermore, PayStubsKit Entities shall not be liable for any negligence, intentional misconduct, or mishandled business activities by you under any circumstances.

Limitation on Liability:
The aggregate liability of PayStubsKit Entities arising out of or related to this Agreement, including the use of the services or content provided, shall be limited to the lesser of: (1) the total amount paid by you to PayStubsKit in the three (3) months immediately preceding the event giving rise to the liability, or (2) $1,000.

Time Restriction for Claims:
You waive the right to assert a claim against PayStubsKit Entities more than twelve (12) months after the first event or fact that gives rise to the claim. This time restriction is designed to encourage the prompt resolution of any issues that may arise.

31. Entire Agreement

Complete Terms:
These Terms of Service constitute the full and exclusive agreement between you and PayStubsKit regarding your use of our services. This agreement supersedes all prior understandings, agreements, or representations, whether written or oral.

Modifications:
No modifications or amendments to these terms shall be valid unless made in writing and signed by both parties or through a unilateral update of these terms by PayStubsKit, as posted on our platform. It is your responsibility to review these Terms periodically to stay informed of any changes.

Precedence:
These terms control all aspects of your use of PayStubsKit. In the event of any conflict between these Terms and any other document or agreement, including but not limited to the Privacy Policy and any other written agreement, these Terms shall prevail.

Severability:
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.

Assignment:
You may not assign or transfer your rights or obligations under these Terms without prior written consent from PayStubsKit. We may assign our rights and obligations to any entity at our discretion without your consent.

Waivers:
The failure of PayStubsKit to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. Any waiver of any provision will be effective only if in writing and signed by PayStubsKit.

Notices:
Notices regarding this agreement should be sent to the email address you provided during the registration process. Notices are deemed given upon the first business day after they are sent.

Governing Law:
This Agreement and your use of PayStubsKit are governed by and construed in accordance with the laws of Wyoming, excluding its conflict of law rules. All legal actions related to this Agreement shall be brought in courts located in Wyoming.

No Class Actions:
You waive any right to bring disputes as class or collective actions, either as a class representative or class member.

Jurisdiction:
You consent to the jurisdiction of and venue in the courts of Wyoming for any actions arising out of or related to these Terms of Service.

Use of Names and Trademarks:
PayStubsKit may use your name and logo in promotional materials for the purpose of identifying you as a customer; however, such use does not grant you any rights to PayStubsKit’s intellectual property.

Superseding Document:
These Terms of Service constitute the entire agreement between you and PayStubsKit regarding the use of the PayStubsKit.com service and supersede all prior and contemporaneous written or oral agreements between you and PayStubsKit.

No Other Agreements:
No other agreement, quote, representation, or understanding (whether before, during, or after the terms of these Terms of Service) will add to or vary these terms unless explicitly stated and agreed upon in writing by both parties.

Amendments:
These Terms of Service may only be amended in writing signed by authorized representatives of both parties or posted by PayStubsKit on the PayStubsKit.com website.
